Acceptance of these terms
These Terms & Conditions govern your access to and use of the SoftSolutioners website, our mobile applications, and the design, development, marketing, consulting, and related services we provide (collectively, the “Services”). By using the Services, submitting an inquiry, accepting a proposal, or placing an order, you agree to these terms.
If you use the Services for a business or other organization, you confirm that you have authority to bind that organization. If you do not agree to these terms, please do not use the Services.
Services and project agreements
Project-specific details—including scope, deliverables, milestones, fees, timelines, revision limits, support, and third-party costs—will be set out in a proposal, statement of work, order form, invoice, or other written agreement. That project agreement forms part of these terms.
If a project agreement conflicts with these general terms, the project agreement controls for that project. Requests outside the agreed scope may require a revised timeline and additional fees.
Your responsibilities
You agree to cooperate in good faith and provide the access, decisions, and materials reasonably needed to perform the Services. You are responsible for:
- providing accurate instructions, content, credentials, approvals, and feedback on time;
- ensuring that materials you provide do not violate intellectual-property, privacy, publicity, or other rights;
- maintaining secure backups and protecting credentials provided to you;
- reviewing deliverables and reporting errors within the review period stated in your project agreement; and
- using completed work in compliance with applicable law and platform rules.
Fees, invoices, and taxes
Fees and payment schedules are stated in the applicable proposal or invoice. Unless agreed otherwise in writing, invoices are due by the date shown, deposits are required before work begins, and work may be paused while an invoice is overdue.
You are responsible for applicable taxes, bank fees, currency-conversion charges, and approved third-party expenses. Late payment may delay delivery, support, transfer of files, or launch. Refund eligibility is governed by our Refund Policy and any project-specific agreement.
Intellectual property
You retain ownership of materials you supply. You grant us a limited license to use those materials only as needed to perform the Services. After full payment, you receive the rights to final deliverables described in the project agreement.
SoftSolutioners retains ownership of pre-existing materials, internal tools, reusable code, methods, know-how, concepts not selected, and third-party materials. Where those items are included in a deliverable, you receive the license reasonably necessary to use the completed deliverable. Open-source and third-party components remain subject to their own licenses.
Unless confidentiality terms or a project agreement say otherwise, we may identify you as a client and display non-confidential final work in our portfolio after it becomes public.
Acceptable use
You may not misuse our website, applications, systems, or Services. In particular, you may not:
- attempt unauthorized access, interfere with security, introduce malware, or disrupt availability;
- copy, scrape, reverse engineer, or exploit the Services except where the law expressly permits it;
- use the Services for fraud, harassment, unlawful surveillance, infringement, or illegal content; or
- misrepresent your identity, authority, affiliation, or ownership of submitted materials.
Third-party services
Projects may rely on hosting providers, app stores, payment processors, advertising platforms, APIs, plugins, fonts, stock assets, open-source software, or other third-party services. Their terms, pricing, review processes, uptime, and policy decisions are outside our control.
Unless expressly included in the project agreement, you are responsible for third-party accounts, licenses, subscriptions, and ongoing fees. We do not guarantee approval by an app store, advertising network, search engine, payment provider, or other third party.
Warranties and disclaimers
We will perform professional services with reasonable care and skill. If you report a material failure to meet an expressly agreed specification within the applicable review or warranty period, we will use reasonable efforts to correct it.
Except for express commitments in a project agreement, the Services are provided “as is” and “as available.” To the extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Business, revenue, ranking, audience, and marketing outcomes are not guaranteed.
Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, punitive, or consequential loss, or for lost profits, revenue, data, goodwill, or business opportunity arising from the Services.
SoftSolutioners’ total liability relating to a claim will not exceed the fees actually paid to us for the specific Services giving rise to that claim during the six months before the event. These limits do not apply where liability cannot legally be excluded or limited.
Suspension and termination
Either party may end a project as allowed by its project agreement. We may suspend or terminate access where payment is overdue, use creates a security or legal risk, these terms are materially breached, or continuing the work would require unlawful conduct.
On termination, you must pay for work completed, committed resources, and non-cancellable third-party costs through the termination date. Provisions intended to survive—including payment, ownership, confidentiality, disclaimers, and liability limits—remain effective.
Governing law and disputes
These terms are governed by the laws of Pakistan, without regard to conflict-of-law principles. The parties will first try in good faith to resolve a dispute through direct discussion. If it cannot be resolved, the courts with jurisdiction in Karachi, Pakistan will have exclusive jurisdiction, unless a written project agreement states otherwise.
Changes and contact
We may update these terms to reflect changes to our Services, business, or legal obligations. The “Last updated” date identifies the latest version. Material changes apply prospectively unless the law requires otherwise.
